I thought about what had happened again. It suddenly struck me that the traffi c policeman had been trying to help me out. He had known something about the insurance that I had not. I might have insisted that I told the truth, but I could at least have said “Thank you” to him instead of acting so rudely.

Some desert animals can live through the summer heat and dryness because they are very unusual. The camel, for example, can experience and bear an increase in the temperature of its body and its blood of 9℃without anything bad happening to it. In addition, it can drink a lot of water at one time; then store enough water in its body to supply its needs for two weeks or more. The kangaroo rat ( 长鼻袋鼠 ) , on the other hand, gets all the water it needs from water that it produces when it breathes. However, most animals can’t bear it if their body temperature rises more than 5℃ . Nor can they store or produce water in their bodies like the camel and kangaroo rat. So, because of the high temperature of a typical summer day, most of them are active only in the night. Only after the sun has set does the desert come fully to life. The night is relatively cool, and the darkness provides protection, not only from the sun, but also from other animals and the birds. So the coming of darkness is the signal for most animals and insects to start again their search for water and food. When morning comes, most of them seek shelter again.

For many kinds of insects, living in the desert is easier than for animals. Like many desert plants, they have a waterproof skin which prevents water loss because of the high temperature. In addition, some insects spend all or most of their life below ground. Here, for most of the year at least, there is some water, and it is generally cooler than on the surface. 保险公司登陆A股困局何在? 第4篇

据悉,国内几大保险公司,如新华人寿、泰康保险、太平洋保险等均有上市的意图。其中,新华人寿更是成为保监会在去年“钦点”上市的企业。

然而,事过境迁,两年的喧嚣却只换来一声叹息的无奈。

与此同时,天安、大众、泰康等保险公司,纷纷推迟了上市计划。早在2002年时,泰康还曾表示要在2003年上市,但泰康人寿董事长兼首席执行官陈东升去年接受采访时称,泰康3年内不考虑上市,上市将2006年之后的事情。

是什么牵绊保险公司登陆A股市场呢?

搁浅的新华人寿

国务院2000年颁布的《保险公司管理规定》中明确指出:“保险股份有限公司向社会公开发行新股,应当遵守《公司法》及国家证券监管的有关规定”。这意味着保险公司上市在政策和制度层面已经没有顾虑和障碍。监管部门也多次表示,鼓励符合条件的保险公司上市。

同时,国内已有太平洋、新华人寿、华泰、大众等多家保险公司表露过其上市意向,其中部分公司已经结束了改制辅导,进入上市申请阶段。其中以新华人寿最为积极。然而,新华人寿上市需要突破两大掣肘:发行价格和筹资规模。

记者调查得悉,新华人寿2003年的每股收益约在0.03—0.05元之间,目前A股市场IPO价格一般限定在20倍以内,因此即使按20倍的市盈率计算,新华人寿IPO价格每股也只能限定在0.6—1.0元之间。可是,这却触及了证监会的相关规定,股票发行价格不得低于一元面值。

这一事实,成为横亘在新华人寿上市之路上关键问题。尽管另一个现实如影随形,这样的价格距离新华人寿每股8—10元的计划发行价格相去甚远。

新华人寿的发行价格对发行规模也产生了巨大影响。

“这两个问题从某种意义上讲是相互关联的,价格是核心,它决定着一切,包括最终的筹资规模。”投行人士直言。

日前,证监会对申请首发(IPO)公司的募集资金量上限作出明确规定:扣除老股东独享的滚存未分配利润后,不超过净资产值的两倍。这意味着,今后单只新股的融资额将出现明显下降。

目前新华人寿的净资产在13—15亿之间,因此,考虑到上述规定,其发行规模最多只能是26—30亿之间,和其设想的40 亿规模相去甚远。

困境何在

从保险公司“上市”的目的来看,总体有三大好处:可以通过快速募集资金充足资本金,提高偿付能力;通过上市成为公众企业后,保险公司的经营和治理会受到市场监督而趋于规范化,有利于保险业的良性发展;保险公司上市后出于业绩压力,会开发出更多贴近市场的保险产品,以增强市场竞争力。

但另一方面,传统的市盈率估值法对寿险行业定价有很大的局限性。对一般行业而言,通常情况下,现有利润的多少在很大程度上反映了公司未来的盈利能力,从而一般情况下市盈率估值能较好地反映一个公司的价值。而人寿保险公司由于寿险行业的固有特征,其当前会计报表上的利润不能反映公司的长期盈利能力及其实际价值。

通常,股票发行价格是按每股净收益乘以当前市场认可的市盈率,但保险公司却是个例外。如何为保险类股票定价,这是令保险公司、投行业务人员为难的事。

特别是寿险行业具有自身特点。按世界各国保险公司的经营规律,寿险公司一般要经过5-8年的正常业务亏损期后才开始盈利。该类公司在成立之初的投入非常大,利润的体现通常在5-10年之后。主要原因是公司需要大量资金进行分支机构铺设、保险产品的研制开发、保险代理人的招聘培训、保单佣金的支付等等。虽然保险公司的经营周期比一般生产型企业长,但是,一旦渡过设立初期阶段进入稳定阶段后,公司将会形成稳定的利润来源,这是其他行业没有的优势。这主要因为多数保费收入是采取年缴的方式,在保单签定后未来数十年间陆续回到公司,保费收入的实现不是一次完成;而大部分费用在保单的初期已经摊销,因此随着业务的开展、新保单的签定,公司会不断收到续期的保费收入,从而形成稳定的利润来源。只要寿险产品的设计合理,寿险公司将保持长期稳定经营,并保证其安全性和利润的稳定性。因此,保险业具有投资需求大、经营周期长、利润率稳定等特点。

而到目前为止,新华人寿仅仅成立、运作8 年,“丰收期”尚为到来。

基于寿险公司不同于一般工业企业的经营模式,寿险公司的会计处理也体现出自身特点。业内人士表示,寿险行业具有自身特点。因此,在股票定价上就要“与众不同”——通常的股票定价建立在财务指标基础上,普通企业通行以市盈率法定价。且其定价有个隐含的假设,即每年的预期收益相对稳定。但是,根据寿险公司自身特点,每股收益的水平可能非常低,按确定市盈率计算的发行价格不能真实反映寿险公司自身的盈利能力和成长性,因此,采用内在价值法或评估价值法比较适宜。而且寿险行业盈利周期较长,在一个周期内,年收益率大幅波动,无论以哪一年的收益来计算股票价格都会与事实大相径庭。因此,对保险公司要考虑整个盈利周期的资产、收益变化,对每股内在价值、上市定价进行客观的测算和评价。

该人士继续解释,内在价值是考虑了公司现有保单现在价值和现有保单未来能够带来的的价值之现值的总和,即现有业务价值;而评估价值还包含了公司在一定预期下的增长所带来新保单的价值的现值,即未来业务价值。可见,内在价值和评估价值是评价寿险公司的重要指标。

不过,目前常用的类比定价在对寿险公司股票定价时基本不能适用。其一,目前沪深两市没有保险公司上市;其二,非保险类金融公司作为类比公司也并不合适。因此类比指标难以选择。

精算评估方法是目前国际上寿险行业运用得较多的评估保险公司价值的方法,即建立在折现现金流(DCF)方法基础上、运用精算方法进行计算的估值方法。该方法不但考虑了保险业务收入与支出的长期性与不平衡性,比较精确地计算了公司现有业务的价值,而且能有效估算公司的长期价值,因此,该方法能较全面科学地估算寿险公司的价值。该方法所得出的价值,不仅是精算师决定保险公司交易价格的基础,也为保险业分析师所广泛采用。

根据金融资产定价理论,一笔资产的价格取决于它能带来的预期收益。举个简单的例子,如果该资产每年能带来3.96元的收益,那么一年期定期存款利率为1.98%时,它的价格应该是200元。通常的股票定价便是建立在这个基础之上,但其有个隐含的假设,即每年的预期收益是相对稳定的。而保险行业的特殊性便在于其盈利周期较长,在一个周期内,年收益率是大幅波动的,无论以哪一年的收益来计算股票价格都会与事实大相径庭。“精算师估值系统”便是考虑了整个盈利周期的资产、收益变化,对每股内在价值、上市定价进行客观的测算和评价。不过,该方法能否得到国内监管部门和市场及投资者的认可还有待验证。

举个例子,香港盈科保险集团(Pacific Century Insurance Company Limited),该公司股票于1999年发行,发行价格6.28港元,等于精算师价值评估报告确定的发行后每股内在价值的1.6倍。

境外模式

“总体来说,平安保险(2318-HK)的上市非常成功,在香港IPO是令人满意的。”去年的6月25日,平安保险正式挂牌后的24小时,此次发行的主承销商,摩根士丹利(Morgan Stanley)亚洲区主席兼首席执行官文礼信如是评价。

2004年6月24日,平安保险IPO终于完成,筹资143亿港元,共发行13.88亿股H股,约占该公司总股本的22.4%,集资规模为今年以来全球第六大,也是香港今年以来规模最大的首次公开募股。

备受市场人士关注的平安保险IPO定价为10.33港元。

然而,平安保险在首日表现平平,开盘后一度跌穿招股价,全天仅微幅上涨0.7%,大大出乎市场人士此前的预期。

市场的疑问浮出水面:平安保险的定价合理吗?而与此相伴而生的是:在未来的一年中,将有大量的国内保险公司上市,他们的定价该何去何从?

“平安保险的定价还是比较合理的。尽管股价表现不佳,但从融资的角度说是成功的。”中央财经大学保险系主任郝演苏表示,“保险公司上市一般都要采取内在价值法,伴随着国内保险公司,像新华人寿等上市热潮的来临,证监会还专门派人到美国了解了相关的知识。”

内在价值法,这个陌生的词汇伴随着保险公司上市的潮涌逐渐被人们所熟悉。

瑞银投资集团(UBS Investment Bank)股票资本市场中国部有关人士指出,“事实上,就内在价值究竟应该怎样评估,以及如何具体去界定内在价值,在保险行业内部和投行业内存在着很大的争议,况且,由于评估的基础是建立在一系列的假设的基础之上,一个微小的数据变化也会引起很大的连锁反应。”

实际情况也印证了这种看法。事实上,从精算师报告,也可看出与中国人寿保险股份有限公司(2628.HK, 简称:中国人寿)相比,平安保险估算其内在价值的假设条件都相对乐观。

在平安保险估值中,假设2004年的投资回报率为每年4.0%,其后每年增加0.25%,到2008年增到5%,之后保持不变。

中国人寿则列出两种假设,较为保守的假设是2003年起投资回报率为3.64%,此后缓慢上升,直到2022年以上才达到4.99%;较为乐观的假设则是自2003年起,到2008年增至4.4%,到2012年达到5%。

此外,对保单失效和退保率、保单维护费用的假设,两家公司也均有不同。这固然意味着精算师对两家公司的投资回报能力估计不同,但也反映了对未来预测方面的程度差异,从而直接导致对公司内在价值认定的不同。

平安保险的IPO价格是其内在价值(Embedded Value)的1.95倍,P/E值大约为22倍。相较之下,中国人寿 IPO价格是其P/EV值为1.45倍,低于平安保险。

根据数据供应商Thomson Financial提供的数据,平安保险的募股价相当于该公司2004年预期每股收益的24.7倍。而其竞争对手中国人寿和中国人民财产保险股份有限公司( 2328.HK,简称中保财险)在平安保险上市时的股价分别是各自2004年预期每股收益的17倍和15倍。

对此,参与了平安保险上市全过程的摩根士丹利有关人士解释,平安保险的内涵价值比中国人寿要高。因为,在估值的时候要看公司的所有方面,不仅看盈利,还要看盈利的质量。“所以,如果光看这一比例也许还要稍高一点。”

摩根士丹利有关人士强调,由于平安保险不可能像中国人寿上市那样受到很多政策的照顾,“中国人寿是把原来保单剥掉了,而平安保险没有剥离。”因此,从已有业务价值看公司整体估值就不是特别准确。所以,很多投资者也看其他各项指标,比如新业务的估值。把这些因素结合在一起,就跟投资者的预计,市场的期望和大家认为比较公平的价值符合了。

“我觉得,估值不能直接地拿一个指标比,但整体来说,我们觉得平安保险的估值还是反映了投资者对它价值的期望,从后来市场的表现来说,也可以看出跟投资者的面貌还是比较一致的。”摩根士丹利有关人士指出。

业内人士指出,评价保险公司的真实价值应该是内在价值和评估价值(也称经济价值),而不完全依据其财务指标,但二者并不矛盾,传统的利润指标是描述现在公司所创造的价值,内在价值是考虑了公司现有保单现在价值和现有保单未来能够带来的的价值之现值的总和,即现有业务价值;而评估价值还包含了公司在一定预期下的增长所带来新保单的价值的现值,即未来业务价值。可见,内在价值和评估价值是评价寿险公司的重要指标。

从这个意义上讲,平安保险的新增保单质量如何就构成了内在价值评估高低的一个重要指标。

上市是解决问题的唯一途径吗

保险公司最需要钱——上市给保险公司带来的最直接、最基本的收益就是能够拓宽资本融资渠道,充分利用资本市场筹集资金,进而补充资本金,提高承保能力和偿付能力。

专家指出,通过上市拓宽资本渠道可以提高保险公司的偿付能力。20世纪90年代以来,中国保险业采取了数量扩张型的战略,保费收入连创新高。1997年底之前,各公司寿险产品的预定利率一直为央行给定的8%左右,1997年底,央行将寿险产品的预定利率调整到4%—6.5%的范围。与此同时,银行利率大幅下调,使得保险产品的预定利率大大高于了银行利率。又加之我国对保险资金运用的渠道一直严格限制。保险公司的资产收益率与银行利率高度相关。由保险公司资产与负债差额反映的偿付能力严重下降,甚至寿险公司资产小于负债,所有者权益为负数。据统计,1996年之后,由于降息和利息税的原因,使寿险公司实际利率和预定利率差额平均高达3%,造成了保险公司的资本金的缺乏,偿付能力的下降。2003年,中国人保、中国人寿上市筹集巨额的资金一举弥补了资本偿付能力不足的困扰,就是最好的例证。由此,新华人寿等也纷纷酝酿在海内外上市,通过筹集巨额资金为其发展增添后劲。

其次,通过上市融资可以短期内迅速提高保险公司的承保能力。在2002年修订并开始实施的《保险法》第99条规定:“经营财产保险业务的保险公司当年自留保险费,不得超过其实有资本金公积金和的四倍”;第100条规定:“保险公司对每一危险单位,即对一次事故可能造成最大损失范围所承担的责任,不得超过其实有资本金公积金总和的百分之十。”这意味着当公积金短期内无法改变时,保险公司的承保能力是与其资本金成正比的。资金数额越大,它的承保能力就越强,在市场上的竞争力就越大;反之,资本金数额小,即使面对优质客户,也可能因为这项业务所需的资本金要求无法满足而不能接受,或者被动的选择再保险以降低风险自留额,这势必限制了业务的拓展。保险公司的上市,能够在短期内迅速进行资本的集中,相应地提高承保能力,保险公司也就有可能获取更多的利润。国外很多成功的保险公司都是通过上市,利用资本市场实现资本的追加而拓展业务发展空间,实现跳跃式发展的。

“然而,在 IPO 上市的漫长过程中所要花费的大量精力,往往令企业的高级管理层望而生畏。同时,想要对企业进行重大改革,在放松管制的市场中实现竞争力的大幅飞跃,需要付出巨大的努力。要做到这一点也并非易事。”波士顿咨询全球副总裁、董事彭礼定指出,“众多中国的保险公司正考虑通过上市来改善企业的资本情况。其实除了上市之外,还有不少方法可供选择。”

他解释说,过去三年的时间里,那些没有选择上市的小型保险公司,特别是那些具有海外伙伴的小型保险公司,都大大提升了自己的职业水准。而除了平安保险之外,所有上市公司无一能赶上保险市场发展的脚步。上市解决了企业的短期资本需求,而未来的增长则有赖于企业盈利能力的大幅提高。这一点只有通过改革,通过建立一套可持续发展的、具有竞争力的商业模式才能实现。在 IPO 之后,企业的股价变化情况都十分类似。为了防止出现认购不足,上市股票的初始定价都比较低。因此在上市的第一天就会出现股价飙升。此后,股票价格趋于体现企业的长期价值。这取决于中国经济的预期未来增长率和企业竞争能力的预期增长程度。由于越来越多的投资者认识到,转瞬即逝的股价上扬难以持久,而且保险企业的分销成本也居高不下,股价曾出现过一些调整。
